1. About UGC Tank

UGC Tank is a creator marketplace platform that connects brands with vetted UGC (User Generated Content) creators. Our platform facilitates the discovery and hiring of creators for content campaigns.

2. User Accounts

Creators: Must be 18 years or older to join. Creator accounts are invite-only and require admin approval. Creators must have public TikTok and Instagram profiles with existing short-form video content.

Brands: Can create accounts to post campaign briefs and review matched creators. Brands only see profiles of creators who have applied to their campaigns and been vetted by our team.

3. Creator Profiles

Creators who are accepted to the platform will have a profile displaying their social media handles, follower counts, analytics, and demographic information.

Profile Visibility: Only brands whose campaigns you have applied to can see your full profile. There are no public links to your profile and other creators cannot see it.

Demographic Information: Creators provide gender identity and ethnicity information to help brands find creators who authentically represent their target audiences. This information is displayed to brands viewing your profile.

Message Notifications: By creating a creator account, you agree to receive email notifications when brands send you messages on the platform. These notifications cannot be turned off to ensure you don't miss important conversations with brands.

Campaign Email Communications: You will also receive campaign digest emails at most once every 3 days when there are new campaigns that match your profile. You can unsubscribe from campaign emails at any time using the unsubscribe link at the bottom of any campaign email or in your account settings. Unsubscribing from campaign emails does not affect message notifications.

SMS Communications: SMS notifications are optional. If you provide your phone number in your account settings and opt in, you may receive SMS campaign alerts and message notifications instead of emails. You can opt out at any time by replying STOP to any message. Msg & data rates may apply. See Section 10 for full SMS terms.

Campaign Access and Matching: UGC Tank operates as a curated marketplace, combining the accessibility of an open platform with the quality standards of an agency service. To maintain high match quality for both creators and brands, we use algorithmic matching to show creators campaigns where their profile (demographics, follower counts, content style, engagement metrics, and niche) aligns with brand requirements. Creators may not see all campaigns on the platform - only those where there is a strong profile fit. This ensures creators see relevant opportunities and brands receive applications from qualified candidates. Brands may request specific demographic attributes (gender, ethnicity, age range) when necessary for authentic representation in marketing content. Our matching algorithm uses these preferences to show creators campaigns where they would be a strong authentic fit.

4. Brand Subscription and Billing

Subscription Fee: Brands are required to pay a monthly subscription fee of $299 USD to access the full platform, including viewing creator profiles, connecting with creators, and messaging. Pricing is subject to change with 30 days' prior notice to active subscribers.

Payment Processing: All payments are processed securely through Stripe. UGC Tank does not store your credit card number, CVV, or other sensitive payment details. By subscribing, you agree to Stripe's Terms of Service.

Recurring Billing: Your subscription will automatically renew each month and your payment method will be charged at the beginning of each billing cycle unless you cancel before the renewal date.

Cancellation: You may cancel your subscription at any time through the Stripe Customer Portal accessible from your Account settings. Upon cancellation, your subscription will remain active until the end of your current billing period. You will not be charged for subsequent billing cycles after cancellation. No prorated refunds are provided for partial billing periods.

Refund Policy: Subscription fees are non-refundable. If you believe you have been charged in error, please contact us at contact@ugctank.com within 7 days of the charge.

Failed Payments: If a payment fails, we may retry the charge and/or suspend your access to subscription features until payment is successfully collected. We are not responsible for any fees charged by your bank or payment provider in connection with failed or retried payments.

Campaign Creation: Brands may create and submit campaigns at no cost. However, campaigns must be approved by UGC Tank and require an active subscription before they are made visible to creators.

5. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

We reserve the right, in our sole discretion, to refuse service, terminate accounts, remove or edit content, or cancel access at any time without notice. Violation of messaging policies, including repeated rate limit violations or sending prohibited content, may result in immediate suspension or termination of your account.

Curated Creator Network: UGC Tank operates as a curated, invite-only creator network. We reserve the right to remove creators from the platform if they are no longer considered a fit for our network. This may include, but is not limited to, changes in content quality, prolonged inactivity, failure to maintain public social media profiles, or other factors that affect their suitability for brand partnerships. Removal from the network is at our sole discretion.

6. Campaign Content and Liability Disclaimer

UGC Tank operates as a marketplace platform that connects brands with creators. We act solely as an intermediary and do not verify, endorse, or guarantee the accuracy, completeness, or truthfulness of any campaign information, job postings, or content posted by brands on our platform.

Brand Responsibility: Brands are solely responsible for the content they post, including campaign details, compensation offers, requirements, and any other information. UGC Tank does not verify brand claims, payment capabilities, or the legitimacy of any campaign offerings.

No Liability: UGC Tank shall not be held liable, accountable, or responsible for any inaccurate, misleading, false, or fraudulent information posted by brands. Creators are encouraged to conduct their own due diligence before engaging with any brand or campaign.

Disputes: Any disputes arising from campaign terms, payments, or deliverables are between the brand and creator. UGC Tank is not a party to any agreement between brands and creators and bears no responsibility for the outcome of such arrangements.

7. Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. The platform is provided "as is" and features may change as we continue development.

8. Intellectual Property

Users retain ownership of their content. By using UGC Tank, you grant us permission to display your public profile information (handles, profile photos, analytics) on our platform.

9. Non-Discrimination and Acceptable Use

UGC Tank is committed to providing equal access and opportunity to all users. Discrimination based on gender identity, ethnicity, or other protected characteristics is prohibited.

For Creators: All creators have equal access to platform features, campaign applications, and opportunities regardless of demographic information provided or withheld.

For Brands: Brands agree not to use demographic information to discriminate against creators or for any purpose unrelated to authentic representation in marketing content. Misuse of demographic data may result in account termination.

If you believe you have experienced or witnessed discrimination on our platform, please report it immediately to contact@ugctank.com.

10. SMS Notifications

Program Name: UGC Tank SMS Notifications

Program Description: By opting in to SMS notifications during account setup, creators consent to receive text messages from UGC Tank. Messages include new campaign alerts when brand campaigns matching your profile go live, and message notifications when a brand sends you a message on the platform.

Opt-In: SMS notifications are optional. You opt in by providing your phone number in your account settings and checking the SMS consent checkbox. Opt-in is not required to use the platform.

Message Frequency: Message frequency varies based on campaign activity and platform usage. You may receive up to one campaign digest SMS per day and one message notification per conversation.

Message and Data Rates: Msg & data rates may apply. Check with your mobile carrier for details.

Opt-Out: Reply STOP to any SMS message to opt out at any time. After opting out, you will receive one final confirmation message and no further SMS messages will be sent. You may also manage notification preferences from your account settings at ugctank.com/dashboard/account.

No Third-Party Sharing: Your phone number will not be shared with third parties for their marketing purposes.

11. Messaging

UGC Tank provides an in-platform messaging feature that allows creators and brands to communicate directly. By using this feature, you agree to the following terms:

Message Storage: Messages are stored on our servers using Google Firebase. While data is encrypted in transit and at rest by our infrastructure provider, UGC Tank does not apply end-to-end encryption to message content. This means UGC Tank administrators may access message content for moderation, support, or legal compliance purposes.

Message Retention: Messages are retained for as long as both participant accounts remain active. We do not currently offer a self-service option to delete individual messages. To request message deletion, contact contact@ugctank.com.

Acceptable Use: You agree to use messaging only for legitimate business purposes related to UGC content creation and brand partnerships. The following are prohibited:

• Sending spam, unsolicited promotional content, or chain messages
• Harassment, threats, or abusive language toward other users
• Sharing illegal content, malware, or phishing links
• Attempting to circumvent platform fees or conduct transactions outside agreed arrangements
• Impersonating other users or UGC Tank staff
• Rapid or automated messaging that disrupts the service

Rate Limiting: To prevent abuse, messaging is subject to rate limits. Users who send excessive messages in a short period may be temporarily blocked from sending messages. Repeated violations may result in account suspension.

Monitoring: UGC Tank reserves the right to monitor, review, and remove messages that violate these terms or applicable law. We may cooperate with law enforcement if required.

Email Notifications: When you receive your first message from a new conversation, and when you have unread messages, we will send email notifications (or SMS if you have opted in). These notifications may include a preview of the message content. Message notifications cannot be turned off.

Brand Access: Messaging is available to all creators. Brands must maintain an active subscription to send and receive messages.

12. Limitation of Liability

To the maximum extent permitted by applicable law, UGC Tank and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall UGC Tank's total liability to you for all claims exceed the greater of one hundred U.S. dollars ($100) or the amount you have paid UGC Tank in the past twelve (12) months.

13. Indemnification

You agree to defend, indemnify, and hold harmless UGC Tank and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party right, including any intellectual property or privacy right
• Any content you submit or share through the Service

14. Dispute Resolution

Informal Resolution: Before filing a claim against UGC Tank, you agree to try to resolve the dispute informally by contacting us at contact@ugctank.com. We will try to resolve the dispute informally within 30 days. If not resolved within that time, either party may proceed with formal dispute resolution.

Binding Arbitration: Any dispute arising from these Terms or your use of the Service that cannot be resolved informally shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. The arbitration shall be conducted in English and take place in the state where UGC Tank is headquartered or remotely via videoconference at the arbitrator's discretion.

Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between UGC Tank and you individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Exceptions: Either party may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the Service, or intellectual property infringement, without first engaging in arbitration.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent that any lawsuit or court proceeding is permitted under these Terms, you and UGC Tank agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Delaware.

16. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the platform at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and may request account deletion.

17. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
